Strategic Rationale
This combination establishes Gentherm as a global leader in thermal and precision flow management technologies across multiple industrial end markets. By integrating Modine’s specialized cooling and fluid management assets, Gentherm expands its technological depth and customer reach within the automotive and commercial vehicle sectors. The deal also includes the acquisition of the Modine brand and associated trademarks. Consequently, the original Modine Manufacturing Company will rebranded as Modexus Solutions while licensing the Modine name for its remaining commercial HVAC and heat transfer segments to ensure customer continuity.
Shareholder Returns & Adjustments
- Gentherm declared a special cash dividend of $2.07 per share totaling $63.5 million
- Dividend payment is scheduled for October 7, 2026, for shareholders of record as of late September
- Modine shareholders receiving merger shares do not qualify for this specific cash dividend
- The transaction is intended to be tax-free for U.S. federal income tax purposes
- Modine shareholders will retain their original shares in the renamed Modexus Solutions
